Responsibilities / Position overview

We are seeking a Contracts Lead to join our Legal Services department. This role supports the Company’s core business through development, handling, and organization of project-level and client agreements. This role will partner with relevant stakeholders to convert  award project documentation into correct and appropriate contracts and project level agreements that are an essential element in enabling revenue realization.

 

Duties include:

  • Creation and organization of Business Unit Contracts Library, ensuring relevant contracting templates, material and processes are stored and are easily accessible to aid an effective and efficient contracting system.
  • Adapting proposals from across business unit, converting these into the relevant project agreement / statements of work specific to the contracting client, ensuring a balance of accuracy and efficiency
  • Managing the existing contracting queue platform, keeping this up to date and relevant so that stakeholders can understand and view the status of agreements as they progress through the queue.
  • Be the subject matter expert on the specific needs and contracting requirements of the operating companies within the business unit, ensuring accuracy and consistency to these requirements and relevant client specifications as detailed in Master Services Agreements (MSA) and/or Project Level Agreements, and how these apply to relevant contracting documents and processes.
  • Support tasks related to the contracting process, such as maintaining department contracts tracker; filing of all contracts and other legal documents;  filing and tracking all corporate documents; managing contracts and agreements about to expire; maintaining and tracking legal process documents and templates; supporting the legal team email box; and any other similar task or duty to support the Legal Services Department.
  • Coordinate and liaise regularly with Commercial, BD, HR, IT, Quality & Compliance, Finance and scientific/business teams to ensure compliance and adaptation of appropriate processes and procedures.
  • As this role will have an element of direct client contact and engagement, a professional development and growth mindset is required, becoming more experienced in corporate contract review, negotiation, and maintenance, including:
    • Negotiate contractual terms and conditions with clients, suppliers, and other third parties
    • Track contract agreements negotiated by the Legal Services Department and by VAO, including but not limited to, MSAs, NDAs, Standalone Agreements, SOWs, and related contract metadata to final execution
    • Compiles contract related data, analytics and reports and provides expert analysis in data analysis to understand contract turnaround times at Operating Company and client level
    • Develop, implement, and train on compliance and contracting policies and procedures across the organization.

 

Qualifications

  • Bachelor’s Degree or Associate’s Degree with one year of relevant experience.
  • Four (4) years of experience, without Degree, with relevant expertise and successful track record in creating and executing contractual agreements in a professional services environment
  • Experience in creating, applying, and disseminating new processes and procedures in a rapidly changing entrepreneurial growth environment.
  • Experience working with legal and procurement functions in the life sciences or healthcare area is a plus.
