Responsibilities / Position overview

We are seeking a Contracts Specialist to join our Legal Services department. This role supports the Company’s core business by executing day to day tasks for the successful movement and completion of legal, business-wide projects, and administrative tasks through the development, facilitation, and maintenance of all contractual agreements and documentation across the global enterprise. In addition, this role will liaise with the Commercial, Operations, Compliance, Data Privacy, CyberResiliance, and Finance teams, as well as with affiliated operating companies on joint projects and with company clients.

 

Duties include:

  • Performs routine assignments using existing procedures. Administrative tasks include, but are not limited to:
    • maintaining department contracts tracker;
    • filing of all contracts and other legal documents;
    • filing and tracking outside counsel invoices and other corporate documents
    • managing contracts about to expire;
    • maintaining and tracking legal process documents and templates;
    • maintaining the Legal channel on the company’s intranet;
    • maintaining signature authority documents;
    • managing the legal team email box;
    • other administrative tasks to support the Legal Services Department.
  • Train and become experienced in corporate contract review, negotiation, and maintenance, including:
    • Negotiate contractual terms and conditions with clients, suppliers, and other third parties
    • Track contract agreements, including but not limited to, MSAs, NDAs, Standalone Agreements, and related contract metadata to final execution
    • Compiles contract related data, analytics and reports and provides expert analysis in data analysis.
  • Develop, implement, and train on legal compliance and contracting policies and procedures across the organization.
  • Develop and maintain corporate, client and vendor contract filing and storage system for Legal and IT teams to ensure organizational access, as appropriate.
  • Liaise with outside counsel on assigned matters.
  • Support internal functional groups and business teams and assist with contracting related needs and projects.
  • Coordinate and liaise regularly with Commercial, BD, HR, IT, Quality & Compliance, Finance and scientific/business teams to ensure legal compliance and adaptation of appropriate processes and procedures.

 

Qualifications

  • Bachelor’s Degree or Associate’s Degree with one year of relevant experience.
  • Four (4) years of experience, without Degree, with relevant expertise and successful track record in creating and executing contractual agreements in a professional services environment
  • Experience in creating, applying, and disseminating new processes and procedures in a rapidly changing entrepreneurial growth environment.
  • Experience working with legal and procurement functions in the life sciences or healthcare area is a plus.
